1. Purpose
The purpose of this agreement is to ensure the confidentiality of the materials,
framework, and program details related to the Stigma-Free Clubs Program, an
initiative developed and owned by SFMHS. By receiving access to this program
framework, the Recipient agrees to abide by the terms and conditions outlined
herein to protect the processes of SFMHS.
2. Confidential Information
The term "Confidential Information" refers to any information, materials,
documents, or frameworks provided by SFMHS to the Recipient regarding the
Stigma-Free Clubs Program, including but not limited to training materials,
guides, tools, presentations, and all associated documentation.
3. Obligations of the Recipient
By entering into this agreement, the Recipient agrees to:
a. Non-Disclosure: The Recipient shall not disclose, share, or distribute any
part of the Stigma-Free Clubs Program framework, materials, or confidential
information to third parties without the express written consent of SFMHS.
b. Non-Replicability: The Recipient acknowledges that the Stigma-Free Clubs
Program is an initiative of SFMHS. The Recipient agrees not to replicate, adapt,
or use the program framework to establish a similar program within their own
organization or at any external school or institution.
c. Program Collaboration: The Recipient agrees to work exclusively with
SFMHS to launch and manage the Stigma-Free Clubs Program at their school.
Any external inquiries or interests regarding the program should be directed to
SFMHS to ensure appropriate management, support, and tracking for key
performance indicators (KPIs) relevant to SFMHS’s commitments to funders.
d. Responsibility and Compliance: The Recipient agrees to adhere to all
provided training and support guidelines from SFMHS to ensure the proper
implementation of the program. The Recipient further acknowledges that the
program is provided under the guidance of SFMHS, and any unauthorized
modifications or independent use of the program may result in termination of
the agreement.
4. Duration of Agreement
This agreement of confidentiality shall remain in effect for as long as the Recipient retains any confidential information or continues to operate the Stigma-Free Clubs Program in collaboration with SFMHS.
5. Intellectual Property
SFMHS retains all rights, title, and interest in and to the Stigma-Free Clubs Program and all related materials. The Recipient agrees that no ownership rights are transferred by this agreement, and the program remains the exclusive property of SFMHS.
6. Breach of Agreement
In the event of a breach of this agreement, SFMHS may take appropriate actions to
address the situation, which could include terminating the program or seeking other remedies in accordance with applicable laws. We hope, however, that all parties will work together to ensure a positive and mutually beneficial partnership.
7. Entire Agreement
This NDA constitutes the entire agreement between the parties regarding the
confidentiality and non-disclosure of the Stigma-Free Clubs Program and supersedes
any prior agreements or understandings.
